User Registration Agreement
(Effective Date of Version: September 1, 2026)
You are welcome to register and use the services provided by the NuoyaMa e-commerce platform (hereinafter referred to as “this platform”). This platform is operated by Hunan Nuoya Decoration Materials Co., Ltd. (hereinafter referred to as “Nuoya Decoration” or “we”).
Before you click “Register” or actually start using the services of this platform, please be sure to read this “User Registration Agreement” (hereinafter referred to as “this Agreement”) carefully, especially the provisions concerning exemption or limitation of liability, as well as the provisions on applicable law and dispute resolution. Once you have successfully registered or started using the platform’s services, you will be deemed to have fully understood and agreed to accept all the terms of this Agreement.
I.Account Registration and Management
Registration Eligibility: You confirm that, upon commencing registration or using the services of this platform, you are at least 18 years old and possess full civil capacity. If you are making wholesale purchases on behalf of a company or organization, you must ensure that you have legitimate authorization to do so.
Authenticity of Information: Given that this platform involves foreign trade export and wholesale business, you must provide true, accurate, and complete corporate or personal information (including but not limited to company name, contact person, valid email address, phone number, delivery address, etc.). If the goods cannot be cleared through customs, logistics are delayed, or you cannot be contacted due to inaccurate information, you shall bear all resulting losses yourself.
Account Security: You are solely responsible for safeguarding your registered account and password. The platform shall not be liable for any account theft, password leaks, or transaction losses arising from your failure to properly secure your account and password.
Prohibition on Transfer: Your account is intended for your personal use or the use of your company only. Without Noya Decoration’s prior written consent, you may not transfer, lend, lease, or otherwise use your account for any commercial purpose.
II.Platform Services and Product Description
Scope of Services: Our platform provides you with online browsing of decorative materials such as wallpaper, wall fabrics, furniture, curtains, and wall stickers, as well as wholesale price inquiries, online order placement, cross-border payments, and logistics tracking services.
Product Information: The product images, colors, and textures displayed on the platform—especially for products such as wallpaper and wall coverings that may exhibit batch-to-batch color variations—may differ slightly due to factors such as monitor settings and lighting conditions during photography. Please refer to the actual product or the physical sample we provide as the standard.
Price and Inventory: The prices of products may be adjusted due to factors such as fluctuations in raw material costs and changes in exchange rates. This platform reserves the right to modify product prices without prior notice. For wholesale orders, the price shall be subject to the final quotation order or proforma invoice confirmed by both parties.
III.Trading Rules and Payment
Contract Formation: Once you submit an order on the platform and complete payment, or once you confirm a proforma invoice (PI) with us offline and make the deposit or full payment, a legally binding sales contract will be deemed to have been concluded between you and us.
Payment Methods: This platform supports a variety of cross-border payment methods (such as PayPal, Stripe, Carta di Credito, credit cards, T/T bank transfers, etc.). Please make payments through the official channels designated by the platform. Do not make private transfers to individuals; otherwise, you will be solely responsible for any resulting financial risks.
Wholesale Rules: For wholesale customers, we may have minimum order quantity (MOQ) requirements. For specific MOQs and tiered pricing, please refer to the product details page or confirm with our customer service team.
IV.Logistics Delivery and Customs Clearance (Special Provisions for Cross-Border Trade)
Logistics Options: We support a variety of logistics methods, including international express delivery, expedited shipping, air freight, and sea freight. The specific shipping costs, delivery times, and logistics providers will be selected by you at the time of placing your order or determined through negotiation with us.
Customs Clearance and Tariffs: As a cross-border buyer, you are obligated to understand and comply with the import laws and regulations of your country. All tariffs, value-added tax (VAT), customs clearance fees, port charges, and other related expenses incurred at the destination port shall be borne by the buyer (you). If the goods are detained, destroyed, or returned due to the buyer’s refusal to pay taxes and fees or failure to provide accurate customs clearance documentation, the buyer shall bear full responsibility for any resulting losses.
Risk Transfer: According to international trade terms, the risk of damage or loss of goods transfers to the buyer once the goods are delivered to the first carrier (such as a freight forwarder or transportation company). We recommend that you purchase cargo transportation insurance before shipping your goods.
V.After-sales Service and Returns/Exchanges
Quality Issues: If the wallpaper, wall coverings, or furniture you receive have serious quality problems (such as damage, significant color discrepancies, incorrect dimensions, etc.), please provide clear photo or video evidence and contact us within 7 business days of receipt. Once we verify that the issue is indeed our responsibility, we will discuss options for reissuing the item, exchanging it, or offering a partial refund.
Non-quality issues: Given the high costs of cross-border logistics, except for quality-related issues, our platform generally does not support returns or exchanges without a valid reason if the request is made due to the buyer’s personal reasons (such as dislike, incorrect size purchased, or changes in decorating style, etc.). If a return is absolutely necessary, the buyer will be responsible for both the round-trip international shipping fees and any applicable customs duties or tariffs incurred.
Customized Products: All wallpapers, wall fabrics, and furniture items that are custom-made according to your specified dimensions, colors, and patterns—once production has begun following your order—cannot be returned or exchanged. Therefore, please double-check all details carefully before placing your order.
VI.Intellectual Property and Compliance
Intellectual Property: All product images, design drawings, trademarks, logos, and other intellectual property displayed on this platform are owned by Hunan Nuoya Decorative Materials Co., Ltd. or their respective rights holders. Without prior authorization, it is strictly prohibited to steal images, copy designs, or use them for any other commercial purposes.
Compliance Use: You warrant that the products you purchase will be used solely for lawful purposes. Any legal disputes arising from your use of the products for illegal purposes (such as infringing on third-party copyrights or using them in prohibited locations) shall be your sole responsibility.
VII.Privacy Protection
We respect and protect your privacy. The business information, contact email, phone number, and delivery address you provide will be used solely for order processing, logistics shipping, and after-sales service. Without your consent, we will not sell or disclose your information to any unrelated third parties—except as otherwise required by laws and regulations or in cooperation with government agencies such as customs and tax authorities during their investigations.
VIII.Applicable Law and Dispute Resolution
Applicable Law: The formation, performance, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the People’s Republic of China (excluding the laws of Hong Kong, Macao, and Taiwan).
Dispute Resolution: Any dispute arising from this Agreement or the cross-border transaction shall first be resolved through friendly consultations between the parties. If no agreement can be reached through such consultations, either party shall have the right to file a lawsuit with the People’s Court having jurisdiction over the location of Hunan Nuoya Decoration Materials Co., Ltd. (Hunan Province).
